PEAK RESORTS TO BE ACQUIRED BY VAIL RESORTS FOR $11.00 PER SHARE

Wildwood, Missouri – July 22, 2019 – Peak Resorts, Inc. (NASDAQ:SKIS) (“Peak Resorts” or the “Company”), a leading owner and operator of high-quality, individually branded U.S. ski resorts, today announced that it has entered into a definitive merger agreement with Vail Resorts, Inc. (NYSE: MTN) (“Vail Resorts”) pursuant to which Vail Resorts will acquire all outstanding shares of common stock of Peak Resorts for $11.00 per share in cash. The transaction represents a 116% premium to Peak Resorts’ closing stock price on July 19, 2019. The transaction is expected to close in fall 2019 and is subject to certain conditions, including a vote of Peak Resorts shareholders and antitrust clearance.

Peak Resorts Expansion Projects Transforming Two of the Company’s Northeast Resorts

The Hunter North project will expand Hunter Mountain’s skiable terrain by 80 acres, encompassing five new trails and four new gladed skiing areas, thereby driving a one-third increase in the total acreage Hunter has to offer and making Hunter the third largest ski area in New York by number of trails. These five new trails, including four intermediate trails and one beginner trail, will be serviced by a fully automated snowmaking system and brand new high-speed six-person chair lift as well as a new entrance to the resort off Route 23a that leads to 250 additional parking spaces. This entirely new mountain face will add much needed intermediate terrain to the Company’s leading Catskills resort that is already known for its great beginner terrain and steep and challenging black diamond terrain, making Hunter more inviting and approachable for families.
Permits for Hunter North Expansion Approved

Hunter Mountain, located in the Catskill Mountains of New York, has secured all the required permits which will allow it to move forward with the terrain expansion project announced last June. Construction for the project, which will increase the resort’s skiable acreage by approximately 25%, will begin later this month and is expected to be completed in time for the start of the 2018/19 ski season.

TAP New York Voted 5th Best Beer Festival

TAP® New York Craft Beer & Food Festival, hosted at Hunter Mountain, has been voted as one of the top five best beer festivals in the country by USA Today. TAP® New York was nominated this past February in a nationwide contest to decide which of a select twenty beer festivals are the best in the country. The contest was held by USA Today, and fans of each nominated festival across the country were able to cast their vote daily until noon this past Monday. Earlier today, it was announced that TAP® New York is the 5th best beer festival in the country, also making it the best beer festival in the entire Northeast.

Hunter Mountain has announced Opening Day for the 2017-18 season, Tuesday, November 21, 2017. After last weekend’s cold temperatures provided an ample snowmaking window, Hunter Mountain’s Snowmaking and Operations crews were able to fire up the snow guns for a 48 hour period covering the Main Line. As of now, guests can expect to enjoy top-to-bottom skiing and riding on Hellgate, Broadway, Kennedy, and Fifth Ave, which will be serviced by the Kaatskill Flyer, the only high speed six passenger chairlift in New York State.
